◆General rules

1. Basic conditions for using the service

Customers who agree to these Terms of Use (hereinafter referred to as ``Terms'') and complete the prescribed registration will become our Luna Auc system registrants (hereinafter referred to as ``Members''). Upon completion of member registration, the member is deemed to have accepted these Terms of Use.

After completing the "Member Registration", you will be able to use all services (auctions and all related services; hereinafter referred to as the "Services") hosted and provided by Luna Oak Co., Ltd. (hereinafter referred to as the "Company").

After registration is complete, members will be issued an ID. When using our paid services, an ID and a "password" registered by the member themselves are required.

2. Points to note regarding responsibility

Our services provide opportunities for the purchase and sale of products, etc. through our intermediary and agency between members, in accordance with our obligations stipulated in these Terms of Use. Members are responsible for all contracts, etc. independently concluded between members as a result of using our services.

3. Precautions when using the system

The Company may change the contents of this agreement or the specifications of the online system, suspend or discontinue the provision of the service without prior notice to members. Our company is not responsible for any unexpected troubles such as server malfunctions, breakdowns, suspensions, or unavailability of the online system. Furthermore, we are not responsible for any disadvantages incurred by members due to temporary inability to use the services provided by our company, such as bidding and winning bids.

◆Bid matters

1. About starting price

The auction start price for the products listed in the service content, such as exhibited items and winning bids (hereinafter referred to as "auction items"), is the lowest price at which the item can be sold, except when a reserve price (see "Exhibition") is set.

The starting price and auction price range will be determined by our company, and as a general rule, the winning bid will be determined by the highest bidder.

If there are bids of the same amount, as a general rule, the first bidder on the reception date and time will be awarded the winning bid.

Notwithstanding the above provisions, our company has the final authority to determine the successful bidder.

2. How to bid

(1) Type of bid

① Mail/FAX bidding (only when live auctions are held)

Please fill in the necessary information on the bid application form specified by our company and send it by mail or to our fax number. Later, we will make a "confirmation call" to the member, at which point the bid will be placed. The deadline for applications is 18:00, two days before the event.

②E-mail bidding (specific members only)

A member will send an e-mail requesting a bid to the e-mail address specified by our company, and bidding will begin once we have confirmed the member's intention. The deadline for applications is 18:00, two days before the event.

③Internet bidding

After completing "member registration", you can participate in the auction from our homepage screen. Information such as bidding status and successful bid results will be reflected in real time after logging in to My Page.

④Telephone bidding

This is limited to the floor and live bid auction (hereinafter referred to as the “floor auction”) on the “day of the event.” The person in charge will tell you how to make a telephone bid, so if you are a member, please contact us by 18:00 two days before the event.

(2) Notes on bidding

Please note that if a "same price bid" occurs, priority will be given to the "bidder with the earliest reception date and time." In that case, our representative will contact you.

3. If we determine that it is necessary to "confirm" your name, address, bid amount, etc. regarding your bid, we may contact you by telephone.

4. No matter which method we receive your bid from, if there is any doubt about the content of your bid, we may invalidate your bid at our discretion.

5. About the bid amount

If there is a fraction after the decimal point in the tax-included price after a successful bid, it will be rounded down.

6. Points to note when bidding

Once a bidder applies for a bid directly to our company by email, fax, telephone, etc., once we have made a proxy bid, the bid price cannot be reduced or canceled under any circumstances. The same applies to bids placed on the website by bidders themselves. Please be very careful in advance to ensure that the amount is correct.

7. Bidder's successful bid fee

If a successful bid is made after bidding, you will be required to pay the sum of the winning bid price, the prescribed successful bid fee, and the legal consumption tax applicable to the fee.

*When shipping products, all shipping charges will be paid on delivery.

*The person in charge will contact you after calculating the "overseas shipping and delivery charges" separately.

Delivery fee for international shipping is separately calculated.

8. About successful bidder payment

(1) Payment process

① All payments will be made in Japanese Yen (JPY).

② Successful bidders can download the "INVOICE" (details of successful bid items, hereafter referred to as INVOICE), which includes the calculation of the winning bid price, handling fees, etc., from the "Member My Page" after the auction ends.

③ If there are no discrepancies in the contents of the "INVOICE", the successful bidder must remit the invoice amount to the bank account specified by the Company in the "INVOICE" within 7 days from the end of the auction. *If there is a discrepancy in the "INVOICE", please contact our representative.

(2) Points to note when making payments

The successful bidder must pay the winning bid price, the prescribed handling fee, and the consumption tax on the handling fee to the Company. Payment for winning bids must be made to the Company within 7 days from the auction date. With no exceptions, we will not deliver the product until the successful bidder has paid in full for all lots.

If we cannot confirm payment completion even after 7 days have passed from the end of the auction, and if we do not receive a sincere response, we will charge a delay fee equivalent to 14.6% (excluding tax) of the invoiced amount per year. We will add the amount and bill you again. If payment is not made even after re-invoicing, we may "cease" providing all services to the winning bidder and may not accept any future transactions with the winning bidder. In that case, monthly membership fees and annual membership fees will not be refunded after the member account is suspended. Even if the contract is canceled, the successful bid fee will still be paid. In addition, if the seller/exhibitor or our company suffers damage due to the cancellation of the contract, we will charge compensation for damages in addition to the successful bid fee.

In addition, if payment completion cannot be confirmed after 7 days from the end of the auction and the seller requests disclosure, or if the Company deems it necessary, the Company will process the successful bidder registered with the Company. We will disclose your personal information to the seller.



In addition, for cancellations due to unavoidable reasons due to the successful bidder's circumstances and approved by our company, reasonable expenses will be charged as a sales contract cancellation fee (24% of the successful bid fee, plus expenses, damages, attorney's fees, and sales. (including all types of related costs and fees, all excluding tax). Please also note that there is a possibility that the seller may request separate compensation for damages. Our company is not obligated to mediate, arbitrate, or otherwise be involved in any way between the parties.

9. About direct collection and payment

If you would like to have the item picked up and paid directly by us, please contact our representative within 3 days from the end of the auction.

For items won in an auction sponsored by our company, please pay for the item and pick it up within 7 days from the end of the auction after the INVOICE is issued.

10. About shipping

(1) Shipping flow

① If the successful bidder has not made a prior request for "direct collection" at our company, please contact us within 3 business days from the day we confirm payment of the successful bid price. Winning bid items will be "shipped" to the registered address. In principle, we do not send shipping notifications.

② "Delivery overseas" is possible in principle, but auctioned items cannot be exported as stipulated by the Washington Convention, etc. Additionally, we will not be involved in any legal issues that may arise in the destination region or country. Please check the applicable laws in advance.

We accept request for international shipping in principal, as long as the item is not listed in conventions such as CITES. Please previously confirm municipal law or tax law of your country, for we do not take any responsibility for problem which occurs under these laws.

(2) Points to note when shipping

If you would like the delivery address to be different from the address you provided when you registered as a member, please be sure to contact us before payment is completed. If we do not hear from you, the successful bid item will be shipped to your registered address once payment has been confirmed.

(3) If the successful bidder wishes to change the shipping company or insure the successful bidder at his or her discretion, please contact us before payment is complete to inform us of the amount of insurance, etc., and the successful bidder will be responsible for shipping the item at his/her own insurance cost. If the successful bidder does not contact us regarding the shipping company or insurance policy by the time payment is completed, we will assume that the successful bidder does not wish to select a shipping company or insure the item, and will ship the item by cash on delivery within the limits of our contracted shipping company and personal property comprehensive insurance. (4) As a good-faith intermediary, our company will store the completed payment free of charge for a maximum period of 15 days, including the successful bid date. A separate storage fee of 100 yen (excluding tax) per day will be charged.

When storing the item, the Company shall be liable to the successful bidder only within the limits of the comprehensive movable property insurance insured by the Company.

(5) If you are shipping a successful bid item overseas, we will not provide any insurance, so please be careful if this applies to you.

Please note that we do not insure the item shipped overseas.

11. Disclaimer

(1) Based on product description, etc.

(2) Based on appraisal results

12. Other disclaimers

About returns

``Returns'' of winning bids are only accepted within 21 days of the winning bid, if the item is not in a ``non-returnable condition (damaged, missing, change in status, etc.)'', and if the item was delivered incorrectly by our company or if the winning bidder has a reasonable cause. The application will be accepted or considered.

However, the above regulations do not apply to the following auctioned items, and our company is exempt from all returns.

① Auction items with notes or special notes such as “as is, preview required, no return” etc.

② Auction items that are replicas, reference items, printed materials, etc.

③ All auction items that have been appraised by a third-party appraiser

④ Auctioned items that are works by people who are believed to be deceased or have little general recognition, and for which there is no appraiser or organization capable of issuing a globally recognized certificate of authenticity, or for which there are no documents available.

⑤ All Chinese coins and banknotes and auction items that are Chinese antiques

⑥ All auction items with unknown parts due to inability to identify the year, author, country name, etc.

⑦ Auctioned items without documents to prove that our company is the agent

⑧ Claims based on the opinions of so-called "experts" such as the successful bidder himself or other contractors

⑨ Claims due to damage or defects during transportation that cannot be determined to be due to our negligence

⑩ Claims that fall under 11.-(1) and (2) above

13. Regarding preview of auction items

During auctions, etc., our company may provide opportunities for previews of auction items. Details such as dates and times will be announced on the website, etc., so please check them from time to time.

14. Regarding our company's authority regarding bidding in auctions, etc.

In the event that any problem arises when bidding in our auctions, etc., our company has the authority to change or make decisions in order to appropriately handle the problem. Furthermore, even if the problem is caused by our company (such as a catalog error), we have the authority to invalidate the bid.







◆Exhibition

Basic agreement

Through our services, our company, as the agent of the seller (exhibitor), concludes a sales contract with the buyer (successful bidder) based on these terms and conditions, and completes the sale based on that agreement. Furthermore, during the floor auction, the Company retains all authority over permission to enter and who will be the successful bidder, and is not obligated to disclose information in response to inquiries regarding this.

Our company, as the agent of the seller (exhibitor), has the authority to cancel the sales contract with the buyer (successful bidder) in accordance with the provisions of these Terms. Please note that our company will not be responsible for any damage caused by this.

1. Application for listing

(1) How to apply

①You can either send it by mail or bring it in. Please fill out the "Exhibition Application Form" and mail it to us together with the "exhibition item" or bring it in.

② At that time, please be sure to keep a copy of the "Exhibition Application Form" for your own records.

③ We will issue a "Receipt Receipt" for the "Exhibited Items" we keep (as a general rule, it will be attached to an email). Please be sure to keep your receipt until the end of the auction.

(2) Points to note when applying for listing

① If you are exhibiting multiple items, it will be at our discretion whether to exhibit them individually or as a set.

② Auction items that are determined to be available for sale will be published in our auction catalogs, pamphlets, advertisements, websites, etc.

③ If the exhibited item is determined by our company to be unlistable, we will return it to you with shipping charges paid on delivery.

④ The payment amount will be calculated by deducting the item sales fee (+tax) from the "successful bid price" and paying the net amount to the seller.

⑤ If the sales contract is canceled due to non-payment by the successful bidder, there is no need to pay the sales commission.

2. About reserve price (minimum selling price)

``Reserve price'' setting is a rule that allows you to set the ``minimum selling price'' for your own item as the starting price in order to prevent sellers from winning bids at an undesirable price. . If you are a seller who wishes to set a reserve price, please be sure to write your desired minimum selling price in the reserve price column of the "Listing Application Form" when listing. All consignment items sent or brought to our company without setting a reserve price will be deemed to be subject to the setting of the starting price at our discretion. Additionally, we do not accept any starting price settings other than the reserve price from sellers.

(1) Points to note regarding reserve prices

If a "reserve price" is set and the bid is unsuccessful at that set price, a "reserve price setting fee" will be charged to the seller.

(2) In the case of unsuccessful bids without setting a reserve price

There are no reserve pricing fees.

3. About payments to sellers

(1) Regarding payment schedule

In accordance with our payment policy, after the winning bidder confirms the payment (in principle, within 7 days from the end of the auction) and after the successful bid item return period (in principle, within 10 days from the end of the auction). Based on this, we will pay the successful bid price to the seller in order. Even if the successful bidder does not pay the successful bid price to the Company, the Company will not be liable to the seller in any way.

(2) Regarding the offset amount

We will remit the amount after deducting the selling fee from the successful bid amount to the seller's designated financial institution. The remittance fee (a flat rate of ¥700 (excluding tax) per remittance) will be borne by the seller.

4. Regarding the risk of exhibiting works

(1) Insuring consigned items

Our company will not be responsible for damage, theft, loss, or any other damaging event that may occur (hereinafter referred to as an "accident") to the consigned product from the time the consigned product arrives until the ownership is transferred to the successful bidder or purchaser upon completion of payment, or if there is no damage, theft, loss, etc. The item will be insured until it leaves our company to be returned to the seller due to a successful bid, cancellation of listing, etc. The insured amount will be determined at our sole discretion, with the upper limit being the auction starting price, and we will calculate a reasonable amount in consideration of market prices, etc.

Please note that only the item itself is covered by the above-mentioned accident compensation, and accessories such as cases are not covered by the above-mentioned insurance. Even in the unlikely event that damage occurs, it will only be subject to the general terms and conditions of personal property comprehensive insurance with the non-life insurance company with which we contract.

(2) Insurance disclaimer and seller's responsibility

Also, please note that according to the above-mentioned "Insurance Terms and Conditions", insurance claims will not be paid for the following damages. Additionally, if the insurance policy stipulates a maximum amount of insurance benefits, the insurance benefits will only be paid within that range.

① Damage caused directly or indirectly by natural disasters such as earthquakes, tsunamis, typhoons, floods, eruptions, landslides, etc.

② Damage caused by the actions of a third party

③ Other disclaimers stipulated in the above-mentioned "General Insurance Terms and Conditions for Comprehensive Property Insurance"

(3) Points to note regarding our insurance

The act of insuring the product was done entirely in good faith by our company, and until the ownership transfers to the successful bidder, the seller/exhibitor bears all responsibility for the risk of the consigned item unless it is clear that our company is at fault. . Our insurance coverage has a limit, so we recommend that sellers insure their own insurance at their own expense and responsibility, especially for high-value consignment items. In that case, please let us know.

5. Seller's responsibility

(1) Be the complete owner of the exhibited work

The seller must either be the full owner of the listing, or be the full legal representative of the full owner, with the ability to transfer full ownership to the winning bidder. If the seller conceals the rights of a third party to the item, the seller must compensate the company or the successful bidder for any costs or expenses incurred as a result of this. At the same time, we reserve the right to take legal action against such matters.

(2) Responsibility to provide true information

The seller is responsible for conveying and guaranteeing the truth about the name of the exhibited work, author's name, history, accessories, authenticity, origin, and all other information that can be known to the company. If we discover intentional falsehoods in the information obtained from the seller, we reserve the right to cancel the auction of the consigned item and unilaterally return it.

In addition, if a consigned product is listed in a catalog and sold for a successful bid while the truth about defects, defects, third party rights, etc. that cannot be discovered by our company's normal preliminary investigation is concealed, the buyer or our company will immediately notify the successful bidder. You have the right to cancel the sales contract and claim any damages caused by this from the seller.

(3) Responsibility for listing cancellation

As a general rule, sellers cannot cancel the listing of consigned items.

However, if the seller has to cancel the exhibition due to circumstances, the selling price will be 48,000 yen (excluding tax) for works with a starting price of 200,000 yen or less, and 24% (excluding tax) of the starting price for lots over 200,000 yen. Cancellations will be accepted upon payment of a cancellation fee (excluding tax). If the payment of the fee cannot be confirmed by the day before the auction ends, it will be assumed that the seller has no intention of canceling the auction, and the consigned item will be auctioned as is. However, for consignment items for which bids have already been made, cancellations cannot be made under any circumstances due to the seller's convenience.

6. Responsibility of the seller when the consigned item is a counterfeit

If, within 14 days after the end of the auction, the successful bidder makes a genuine complaint regarding the item consigned by the seller through the process stipulated in these regulations, and the Company recognizes that the item is a counterfeit, the following will apply. Members have no right to contest our certification.

(1) If payment for the consigned item is not yet completed

If the lot has not yet been paid by the Company to the seller at the time it is determined to be a counterfeit, the Company will immediately return the payment to the successful bidder and ship the lot back to the seller with shipping charges paid on delivery. In that case, if costs are incurred for proof of counterfeiting, etc., the seller must compensate the successful bidder for the costs incurred through our company.

(2) If the payment for the consignment item is completed

If we have already paid part or all of the sale price to the seller at the time the item is determined to be a counterfeit, the seller must return the full amount paid by us. If costs are incurred for proof of counterfeiting, etc., the seller must compensate the successful bidder or our company for the costs incurred. In addition, in this case, the Company or the winning bidder will have the highest legal right to any property of the Seller corresponding to the full amount paid to the Seller.


7. Appraisal commission

If a reliable appraisal institution exists, we reserve the right to select the appraisal institution at our sole discretion and request that the seller attach the appraisal results in advance to the item requested for exhibition. All such costs shall be borne by the Seller.

8. Prohibited items for sellers

The following actions by sellers are prohibited.

① Listing something even though you have no intention of selling it

② Failure to clarify the target of sales

③ Listing the same product twice using other companies' services or other methods

④ Making false statements to the Company

⑤ Failure to provide sufficient explanation of the product to our company.

⑥ Listing products etc. for the purpose of advertising

⑦ Interfering with other ongoing LA auctions, etc.

⑧ Using payment methods other than those specified in these Terms of Use

⑨ Acts that deviate from the purpose of providing our services

⑩ Inducing transactions that do not use the system provided by our services.

⑪ Other acts that the Company deems inappropriate at its sole discretion.

9. Stolen goods etc.

① Pursuant to the provisions of Article 21 of the Secondhand Goods Business Law (Act No. 108 of 1948, including subsequent amendments), the police chief etc. orders our company to store the goods, and the end date of the storage period falls within the delivery period. If the product arrives after expiration, we will not ship the product until the end of the storage period. Please note that our company will not be responsible for any damage caused by delays in delivery.

② According to Article 21-3 of the Secondhand Goods Business Act, if we suspect that the secondhand goods that the seller is trying to sell are stolen, we will notify a police officer to that effect.

③If we are ordered to cancel the auction for the secondhand article pursuant to Article 21-7 of the Secondhand Goods Business Act, our company will stop intermediation even after the bidding has ended. Please note that our company will not be responsible for any damage caused by this.





◆Others

1. Member's use of services

(1) Only members who have registered as members and obtained an ID can use our services.

(2) Registration will be refused for those using the adult guardianship system.

(3) "Registration" will be refused to members of "anti-social forces" (including those who were members in the past), their families, related parties, and those who cause trouble to third parties. .

(4) If a member is found to be ineligible for registration, the Company may immediately suspend the use of auctions, etc. without the need for any special notice.

(5) To register as a member, you must be able to understand the language written in these Terms.

It is required that you understand Japanese language for member subscription.

2. Regarding handling of member's "ID" and "password"

(1) "Member registration" requires that 1) the registered information is true and not false, and 2) the registered information is up-to-date. If there is a change in registered information such as address or telephone number, it is the member's own duty and responsibility to make the corrections in a timely manner.

(2) When login to our site is confirmed using the "combination of ID and password" that matches the registered information, we will consider that person to be the registered "member." Therefore, when there is a fee for using the site or purchasing a product (hereinafter referred to as the "Price") using an "ID", the Company will bill the member who has the "ID" for these charges ( If our company is entrusted by a third party, this also includes the liability of the third party).

3. Regarding the handling of data and content on servers managed by our company

(1) Members are responsible for backing up “data registered by members” on servers managed by our company, and our company does not back up such data.

(2) All copyrights for content such as "posting, publishing, disclosing, providing, communicating (hereinafter collectively referred to as "posting, etc.")" related to auctions, etc. belong to the Company.

(3) If it becomes necessary to maintain or improve the Company's software system, etc., the Company may copy or modify it without prior notification to members.

4. Member compliance requirements

When using our services, all of the acts specified below (including acts that induce such acts and preparatory acts) are prohibited under any circumstances. In addition, if a member is found to have committed such acts, the Company may immediately suspend the use of auctions, etc. without the need for any special notice.

① Acts that violate social norms and public order and morals.

② Acts such as posting things that infringe on our rights or cause trouble to others.

③ Acts that destroy or interfere with the functions of servers or networks owned by our company.

④ Acts that interfere with advertisements and services provided by our company.

⑤ Acts of using the services provided by our company for purposes other than the original purpose of providing them.

⑥ Acts of collecting and disseminating personal information, history information, etc. of other members without the permission of that member.

⑦ Acts of using another member's "ID" without permission to use our services.

⑧ Acts that "directly or indirectly provide benefits to antisocial forces or their affiliates" in connection with the services provided by our company.

⑨ Any other acts incidental to the acts listed above.

5. Compensation for expenses paid by the Company due to the actions of members

If a complaint or other problem arises due to a member's actions, and the Company pays the costs or compensation, the member will be responsible for the costs and compensation paid by the Company (including attorney's fees paid by the Company). ).

6. Regarding measures such as member ID deletion

In order to properly operate the service, the Company may take measures such as suspending the use of part or all of auctions, etc. and deleting member IDs in the following cases. Even if you own a ``ID'', the same measures will be taken for all such IDs. In that case, monthly membership fees and annual membership fees will not be refunded after the member ID is suspended. Furthermore, we are not obligated to notify members in advance when taking such measures.

① If the Company determines that the Member has violated these Terms of Use.

② Even though the Member has a debt to pay to the Company, the payment is delayed from the period specified in these Terms or separately specified without any notification.

③ When the Company determines that a member's "ID" has been misused or there is a risk of unauthorized use by anti-social forces or their related parties.

④ In addition, if the Company determines that it is difficult to maintain or continue the contractual relationship between the Company and the member.

7. Prohibition of transfer of rights and obligations, etc.

Members may not transfer part or all of their contractual status and the rights and obligations arising therefrom to any third party regarding any contract based on these Terms of Use.

8. solution through discussion

In the event that a situation arises that is not stipulated in each clause regarding an auction, etc., or if there is any doubt regarding the interpretation of each clause, we will resolve the matter in good faith through consultation between the members and our company.

9. Governing law and jurisdiction

The establishment, effectiveness, and interpretation of these Terms of Use shall be governed by "Japanese law."
